These Terms & Conditions (“Terms”) govern your access to and use of the website, software, digital products, consulting services, engineering services, automation solutions, ERP solutions, hardware solutions, and other services provided by Dork Industry (“Dork Industry,” “we,” “us,” or “our”).
By accessing our website, submitting an enquiry, requesting a quotation, purchasing a service, or engaging Dork Industry for a project, you acknowledge that you have read, understood, and agreed to these Terms.
1. Services
Dork Industry provides technology, engineering, software, automation, and business solutions, which may include:
Software and web application development
ERP and business management systems
Business process automation
Production and operational automation
Data entry and workflow automation
IoT and industrial monitoring solutions
Hardware and embedded-system development
PCB design and related engineering services
Industrial dashboards and monitoring systems
System integration and API integration
Data analytics and operational reporting
AI-assisted business and automation solutions
Cloud and infrastructure solutions
Technical consulting and system architecture
Maintenance and technical support
Custom software, hardware, and integrated technology solutions
The exact scope of any project will be defined in the applicable proposal, quotation, Statement of Work (“SOW”), purchase order, or other written agreement.
2. Project Scope
Before commencing a project, Dork Industry may provide a proposal, quotation, technical specification, SOW, or project plan.
The agreed document may define:
Project requirements
Deliverables
Functionalities
Technology stack
Hardware specifications, where applicable
Development milestones
Estimated timeline
Commercial terms
Payment schedule
Client responsibilities
Support and maintenance terms
Anything outside the agreed scope may be treated as a change request and may result in additional charges and/or timeline adjustments.
Verbal discussions, assumptions, or informal communications do not automatically modify the agreed project scope.
3. Client Responsibilities
The client is responsible for providing accurate and timely information required for project execution.
This may include:
Business requirements
Technical specifications
Existing system information
API/documentation access
Product information
Data
Credentials or access required for integration
Hardware specifications
Approvals and feedback
Testing and validation
Regulatory or compliance requirements applicable to the client’s business
Delays caused by the client’s failure to provide required information, approvals, access, materials, or feedback may affect the project schedule.
4. Project Timeline & Delays
Dork Industry will make reasonable efforts to complete projects within the estimated timeline communicated to the client.
However, project timelines may change due to circumstances including:
Changes in requirements
Additional functionality
Delayed client feedback
Delayed approvals
Third-party API or service issues
Hardware availability
Component shortages
Manufacturing or logistics delays
Integration dependencies
Regulatory requirements
Infrastructure or hosting dependencies
Force majeure events
Technical issues discovered during development
Client-side internal delays or conflicts
Important
An estimated delivery date is not automatically a guaranteed delivery date unless expressly stated as a guaranteed contractual deadline in writing.
A project delay by itself does not constitute a failure to deliver the contracted work.
5. Changes to Requirements
Once development has commenced, the client may request modifications or additional functionality.
Dork Industry may evaluate such requests and determine:
Whether the change is within the original scope;
Whether additional development is required;
The additional cost, if any; and
The effect on the delivery timeline.
Dork Industry is not obligated to implement additional requirements without appropriate approval.
6. Payments
Payments shall be made according to the payment schedule specified in the applicable quotation, proposal, invoice, or agreement.
Unless otherwise agreed:
Development may be divided into milestones.
Milestone payments may become due upon completion or submission of the corresponding milestone.
Work may be paused if payments are overdue.
Any resulting delay may extend the project timeline.
Third-party costs, licenses, hosting, APIs, cloud services, components, manufacturing, shipping, or other external expenses may be charged separately unless explicitly included in the quotation.
7. Refund & Cancellation Policy
Dork Industry understands that projects can experience delays, changes, disagreements, or unexpected technical challenges. However, project-based development involves allocation of engineering resources, development time, infrastructure, research, design, testing, procurement, and other costs.
Refunds will not be issued solely because of project delay.
A delay caused by:
Internal client conflicts
Unwanted disputes
Delayed feedback or approvals
Changes in requirements
Failure to provide required information
Third-party dependencies
Hardware/component availability
Integration issues
Client-side operational changes
Communication delays
Other circumstances that do not constitute non-delivery of the contracted deliverables
does not automatically create a right to a refund.
Refund eligibility
A refund may only be considered where Dork Industry has failed to provide the agreed deliverable(s) in accordance with the applicable project agreement and the issue cannot reasonably be resolved through the agreed correction, revision, or delivery process.
Any refund will be assessed based on:
The applicable contract/SOW
Work already completed
Deliverables already supplied
Payments received
Third-party expenses
Development and engineering resources already utilized
The specific circumstances of the project
No refund shall be automatically triggered merely because a project has exceeded its estimated delivery timeline.
Where appropriate, Dork Industry may first attempt to resolve the matter through continued delivery, correction, revision, replacement, or another mutually agreed remedy.
8. Software Acceptance
Upon delivery of a software milestone or final product, the client may be provided with an opportunity to review and test the deliverable.
The client should report material defects within the agreed testing/acceptance period.
Minor bugs, cosmetic issues, reasonable usability adjustments, or issues caused by environments outside Dork Industry’s control do not necessarily constitute non-delivery.
Where a defect falls within the agreed scope, Dork Industry may attempt to correct it within a reasonable period.
9. Third-Party Services
Projects may depend on third-party services such as:
Cloud providers
Hosting providers
Payment gateways
Maps
Messaging services
AI/ML services
APIs
Databases
Hardware manufacturers
Internet service providers
Software libraries
External platforms
Dork Industry does not control the availability, pricing, policies, security, performance, or future functionality of third-party services.
Changes, outages, discontinuation, pricing changes, API changes, or failures of third-party services may affect the project.
Where additional third-party charges arise, the client may be responsible for those charges unless otherwise agreed.
10. Hardware & Physical Products
For projects involving hardware, IoT, electronics, PCB development, embedded systems, sensors, machines, or other physical products, the final performance may depend on:
Component quality
Component availability
Manufacturing tolerances
Environmental conditions
Installation
Calibration
Electrical conditions
Network connectivity
Third-party components
User operation
Field conditions
Prototype performance does not automatically guarantee mass-production performance unless such requirements have been expressly agreed and validated.
Hardware warranties, replacement policies, manufacturing warranties, and component warranties will be governed by the applicable project or product agreement.
11. Intellectual Property
Unless otherwise specified in writing:
Client-owned materials
The client retains ownership of materials, data, trademarks, documentation, business information, and intellectual property supplied by the client.
Dork Industry technology
Dork Industry retains ownership of its pre-existing:
Software frameworks
Libraries
Development tools
Templates
Architecture
Algorithms
General-purpose modules
Know-how
Methodologies
Reusable components
unless ownership is expressly transferred under a written agreement.
Custom deliverables
Ownership or licensing of custom-developed software, source code, designs, documentation, hardware designs, PCB files, or other project deliverables will be determined by the applicable commercial agreement.
12. Confidentiality
Both parties may receive confidential business, technical, financial, operational, or commercial information during a project.
Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized parties except where:
Required by law;
Required to perform the project;
Authorized by the other party; or
The information is already publicly available through no fault of the receiving party.
A separate Non-Disclosure Agreement (“NDA”) may be executed where required.
13. Data & Security
Dork Industry will take reasonable technical and organizational measures appropriate to the nature of the services to protect information handled during a project.
However, no internet-connected system can be guaranteed to be completely secure.
The client remains responsible for:
Proper access management
User credentials
Password security
Authorized users
Data supplied to the system
Compliance obligations applicable to its business
Where sensitive or regulated data is involved, additional contractual security requirements may be necessary.
14. AI-Assisted Services
Where automated or machine-learning systems are incorporated into a service, their outputs may assist with analysis, recommendations, classification, prediction, automation, or decision support.
Such outputs should not automatically be treated as guaranteed factual conclusions or professional advice.
Where required, outputs should be reviewed by appropriately qualified personnel before being used for material business, financial, medical, legal, safety, or operational decisions.
15. Estimates & Business Outcomes
Any projected:
Cost savings
Revenue recovery
Productivity improvement
Employee-hour reduction
Production improvement
Inventory reduction
Operational efficiency
ROI
Revenue leakage
Financial exposure
provided by Dork Industry are estimates unless expressly guaranteed in a written agreement.
Actual results may vary depending on implementation, business conditions, employee adoption, operational practices, market conditions, data quality, equipment, and other factors.
Dork Industry does not guarantee a particular financial outcome unless expressly agreed in writing.
16. Professional & Technical Advice
Information provided through Dork Industry’s website, diagnostic tools, reports, consultations, or automated assessments is intended to support business and technical decision-making.
It does not replace professional legal, accounting, financial, medical, regulatory, engineering, or other specialized advice where such advice is required.
17. Website & Diagnostic Tools
Dork Industry may provide free assessments, calculators, diagnostic tools, questionnaires, reports, demonstrations, or other digital resources.
These tools may provide indicative findings based on information submitted by the user.
Results should not be interpreted as a complete audit of the user’s business unless Dork Industry expressly performs and documents a formal audit.
Dork Industry may invite users to request a consultation or free audit following the assessment.
18. Free Audit / Consultation
Where Dork Industry offers a free audit or consultation, the scope will be determined based on the specific engagement.
A free audit may involve reviewing:
Operational workflows
Software systems
Production processes
Inventory processes
Data-entry processes
Hardware and equipment
Automation opportunities
Operational bottlenecks
Revenue leakage
Technology infrastructure
A free audit does not create an obligation for the client to purchase any product or service.
Similarly, completion of a free audit does not guarantee that Dork Industry will be able to solve every identified problem.
19. Maintenance & Support
Unless explicitly included in the project agreement, ongoing maintenance and support are not automatically included after project delivery.
Support may include separate services such as:
Bug fixes
System monitoring
Updates
Security patches
Feature modifications
Infrastructure management
Hardware maintenance
Technical assistance
The applicable quotation or support agreement will define the scope and pricing.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Dork Industry shall not be liable for indirect, incidental, special, consequential, or business losses arising from the use of its services, including:
Loss of profits
Loss of anticipated revenue
Loss of business opportunities
Loss of data
Business interruption
Production losses
Third-party failures
Market losses
Nothing in these Terms shall exclude liability that cannot legally be excluded or limited under applicable law.
21. Force Majeure
Dork Industry shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:
Natural disasters
War
Government actions
Epidemics or pandemics
Fire
Flood
Power failures
Internet or telecommunications failures
Cyber incidents affecting external infrastructure
Supply-chain disruption
Component shortages
Strikes
Transportation disruptions
Third-party service outages
Reasonable efforts will be made to resume affected services as soon as practicable.
22. Suspension or Termination
Dork Industry may suspend or terminate services where:
Payments remain overdue;
The client materially breaches the agreement;
The client requests unlawful or unsafe activity;
Required information or access is repeatedly withheld;
Continued work becomes technically or commercially impractical;
The client engages in abusive, threatening, fraudulent, or inappropriate conduct.
Termination will be subject to the applicable project agreement.
23. Prohibited Use
Users shall not use Dork Industry services to:
Conduct unlawful activities;
Infringe intellectual property rights;
Attempt unauthorized access to systems;
Introduce malicious software;
Circumvent security controls;
Conduct fraudulent activities;
Abuse infrastructure;
Violate applicable laws or regulations.
24. Governing Law
These Terms shall be governed by the laws of India, unless otherwise specified in a separate written agreement.
Any disputes shall be subject to the jurisdiction of the courts specified in the applicable agreement or, where no specific jurisdiction is agreed, the appropriate courts having jurisdiction over Dork Industry’s principal place of business.
25. Changes to These Terms
Dork Industry may update these Terms from time to time.
The updated version will be published on the website with the revised “Last Updated” date.
Continued use of the website or services following an update may constitute acceptance of the revised Terms, subject to applicable law.
26. Entire Agreement
These Terms, together with any applicable proposal, quotation, SOW, purchase order, NDA, service agreement, or other written agreement, constitute the agreement governing the relevant services.
Where there is a conflict between these Terms and a specifically executed project agreement, the specific written project agreement will prevail to the extent of the conflict.
